Terms:
Billing terms are
NET 30 days to accounts in good standing with established credit. Invioces over 30 days old are subject to 1 -1/2% (18% APR) per month service charge. Accounts 30 days past due will be put on C.O.D.
basis until account is current. Custom, Special or Non-stock product may be subject to a deposit upon receipt of order.

Quotations:
Quotations are subject to prompt
acceptance. We reserve the right to correct stenographic or clerical errors. Quotations are valid for 30 days, unless otherwise provided for in writing.

|
|
Agreements:
All quotations and agreements are
contingent upon fire, floods, strikes, accidents, government regulations, delay of carriers, and other cases beyond our control. We assume no liability for losses resulting from non-delivery of goods on
a specific date.

|
|
|
Prices:
We reserve the right to change prices without notice.
|
|
|
|
Collections:
All debts deemed uncollectable
by our credit department will be turned over to collection agency and customer will be responsible for all charges incurred.
|
|
|
|
Returned Checks:
All returned checks will be assessed a $25.00 handling charge.
|
|
|
|
Taxes:
Prices submitted do not include taxes.
Customer is responsible for Federal, State, and Local Taxes (if applicable).

|
|
Minimum Orders:
Our Minimum per invoiceis
$30.00, which is exlusive of prepaid freight charges. Invoices under $30.00 may be subject to a $5.00 handling charge.

Handling Charges:
All orders shipped are subject to a shipping & handling charge.

Limited Warranty:
American Garage Door Supply
Inc. (AGDS) makes and distributes systems and replacement parts of its own manufacture or procurement, brand names, model names, original manufacturer, name or stock number (which may appear on the
seller's invioces, catalogs, packages, quotations, and correspondence) are utilized for identification only; and are not a warranty of representation either expressed or implied, that item offered or
sold are genuine products of such original manufacturer. Neither we nor the original manufacturer shall be liable for any injury, loss, or damage, direct or consequential, arising out of the use of any
item sold by AGDS. Our only obligation in lieu of all warranties expressed or implied is to replace any proved t obe defective. Before using, the user must determine the suitability of the product for
its intended use, and the user assumes all risk in connection therewith. This warranty is in lieu of all other warrantiesexpress or implied. No representative or person is authorized to give any other
warranty or to assume for seller any other liability in connection with the products sold by AGDS. If difficulty with the product while under the specified warranty, AGDS, will erpair or replace the
product at the factory. This warranty does not cover labor cost for removal or installation of the unit for repair costs. all warranties must be sent freight prepaid. any repairs or adjustments to the
product other than by AGDS voids any warranty.

Liability:
We assume no liability for labor,
damages, or anyother expenses incurred as a result of improper installation or defective or improper material being shipped. Our responsibility shall be confined to only the value of the material
affected.

|
|
Credit:
Applicants hereby consent to submit
to jurisdiction of the State or Federal courts of the State of Minnesota and agrees that such courts within Beltrani County, State of Minnesota shall have original exclusive jurisdiction over all matters
and all disputes, regardless of the origin of such disputes and agree that personal jurisdiction shall reside with such courts for purposes of any action or proceeding on or related to any agreement with
AGDS and customer. Should applicant be a corporations or other business intity, the signatories affirm and assure that they have authority to bind such business entity.

Catalog Errors:
This catalog is to be used as
a guide only and is subject to stenographic or clerical corrections. AGDS reserves the right to substitute products with equal specifications in place of those pictured.

|
Cancellation of Orders, Returns and Exchanges:
AGDS guaranties 100% satisfaction with all of its products. Money will be cheerfully returned on stock products returned within a 30-day period after original shipping date. Products must be unused
and in resale condition. A restocking fee of 20% will be applied to all returns after 30 days. All product returns for credit require a prior return authorization (RA) obtainable from the Customer
Service Dept. Absolutely no return will be allowed on custom, special or non-stock products. All returns must be freight prepaid. No Freight collect returns will be accepted. All prducts returned because
of our error will be returned for credit or exchanged withour expense to the customer.

Special/Custom Orders:
Special or custom
orders must be in writing. Once in production they cannot be cancelled or returned. It is your responsibility to review specifications for accuracy.

|
|
Product Ownership:
All right, title, and
interest in and to all products delivered to customer will remain with AGDS until fully paid.
|
|
|
|
Shortages/Damage in Transit:
Extreme care
should be exercised by anyone receiving a product from a common carrier. Inspect your shipment immediately upon arrival. Check for any damage to containers or boxes. If a shortage or damage has occurred
it should be accepted as such. All damage or shortages must be noted on the delivery ticket and reported immediately to us and the freight company. The customer must make the claim for any shortages,
damages or loss. Our responsibility ceases after we deliver the product in good condition to the freight company. We will however, be happy to render any reasonable assistance in substantiating your
claim and expediting the proper replacement products.
